Group Chief Executive Officer of the Nigerian National Petroleum Company (NNPC) Limited, Engr. Bayo Ojulari, said on Tuesday in an interview with Bloomberg that the company was progressing towards a public listing on the Nigerian Exchange (NGX). He disclosed that the baseline assessment had been completed and advisers were addressing identified gaps in reporting structures and governance frameworks. Although NNPC previously targeted a 2028 listing, Ojulari said no IPO date had been fixed, as the decision ultimately rests with shareholders.

DECISION HIGHLIGHT

NNPC’s progress towards listing shifts attention from its stated ambition to the governance, reporting and shareholder decisions required to achieve market readiness.

DECISION MEMO

The baseline assessment marks an initial step towards converting NNPC’s proposed public offering into an executable transaction. However, addressing identified governance and reporting deficiencies remains essential to establishing the transparency and accountability expected of a publicly listed company.

Ojulari said: “We have done the baseline assessment.”

The company is now working on gaps identified by its advisers, indicating that preparation involves institutional changes beyond the technical process of offering shares. The extent of these changes, their completion timeline and the proposed ownership structure were not disclosed.

The successful share offering by Aliko Dangote’s refining company provides a domestic reference point for large-scale capital-market mobilisation. However, NNPC’s readiness will depend on its own governance arrangements, financial disclosures and shareholder decisions, rather than the precedent alone.

Vice-President Kashim Shettima urged NNPC on 6th October to surpass expectations when it lists, citing the Dangote refinery’s performance. Yet Ojulari’s latest remarks maintain an important distinction between preparation and commitment: the company is progressing towards a listing without a confirmed offer date.

DATA BOX

  • Company: Nigerian National Petroleum Company Limited.
  • Proposed exchange: Nigerian Exchange.
  • Baseline assessment: Completed.
  • Outstanding work: Reporting structures and governance frameworks.
  • Previously stated target: 2028.
  • Confirmed IPO date: None.
  • Decision authority: Shareholders.

WHO WINS / WHO LOSES

Potential winners: NNPC, prospective investors and the Nigerian capital market if listing preparations produce credible disclosures and broader investment participation.

Potential pressure points: Investors facing uncertainty over timing, ownership arrangements and the company’s readiness to meet listing requirements.

POLICY SIGNALS

The process highlights the importance of governance reform, transparent reporting and shareholder accountability in preparing a major state-owned enterprise for public-market participation.

INVESTOR SIGNAL

The completed baseline assessment represents preparatory progress, not confirmation of an imminent IPO. Investors require further clarity on valuation, financial disclosures, share structure and timing.

RISK RADAR

Unresolved governance gaps, delays in implementing advisers’ recommendations and the absence of a confirmed listing date remain key uncertainties. NNPC’s transition from preparation to an executable offer will depend on closing these gaps and securing shareholder decisions.
