Dangote Refinery Opens N2.2trn IPO, Targets 10m Shareholders

Dangote Petroleum Refinery and Petrochemicals Limited has formally launched its N2.2 trillion Initial Public Offering (IPO), setting the stage for what could become one of Africa’s largest retail investment exercises and a major expansion of public ownership in the continent’s largest single-train refinery.

DEVELOPMENT: The company, at a signing ceremony in Lagos on Monday, unveiled an offer of 4.1 billion ordinary shares at N525 per share following approval by the Securities and Exchange Commission (SEC). The public offer is scheduled to open on September 14.

Aliko Dangote, President and Chief Executive of Dangote Group, said the offer was designed to broaden participation in the refinery by allowing Nigerians and other investors to become shareholders in the strategic energy asset.

The minimum subscription has been fixed at 10 shares, requiring an initial investment of N5,250. Dangote said the initiative was intended to extend ownership beyond institutional investors to ordinary Nigerians.

Chuka Eseka, Group Managing Director of Vetiva Advisory Services Limited, the lead issuing house and transaction coordinator, said the offer followed the SEC’s approval for the 4.1 billion-share transaction.

NUMBERS: The IPO seeks to raise approximately N2.2 trillion, through the sale of 4.1 billion shares at N525 each, with a minimum subscription of 10 shares for N5,250.

The refinery currently has a production capacity of 700,000 barrels per day, with the proceeds expected to support expansion to 1.4 million barrels per day.

Investor demand for the asset was demonstrated in July when the refinery raised $2.5 billion through a private placement targeted at institutional investors and high-net-worth individuals. Demand reportedly exceeded the offer size by 270 percent.

The refinery occupies a 6,180-acre complex in the Lekki Free Zone and, if listed on the Nigerian Exchange (NGX), could increase the exchange’s total market capitalisation by more than one-third, according to market observers.

SIGNIFICANCE: The offering could materially widen retail participation in Nigeria’s capital market while bringing one of the country’s most strategically important industrial assets into broader public ownership.

A successful listing would also give the NGX a major new energy-sector constituent and potentially deepen market liquidity, while providing Dangote Refinery with long-term capital for its planned capacity expansion.

The refinery’s growing position in international petroleum trade could further strengthen investor interest. Since commencing production in January 2024, the facility has expanded its export footprint, with management noting that it became the largest external supplier of jet fuel to Europe in June and retained that position in July.

The IPO also comes against a backdrop of renewed international interest in Nigerian financial assets following FTSE Russell’s reinstatement of Nigeria to Frontier Market status.

NEXT MOVE: The public offer is expected to open on September 14, after which investors will have the opportunity to participate in the share sale. The next major milestone will be the eventual listing of the refinery on the NGX, which is expected later this year.

If successful, the transaction could establish a new benchmark for large-scale retail public offerings in Africa and encourage other major privately owned Nigerian companies to pursue public listings as a route to long-term capital.

It marks a potential shift from concentrated private ownership of strategic industrial assets towards broader market ownership, while testing whether Nigeria’s capital market can mobilise millions of retail investors around a single industrial proposition.

The bigger signal is the convergence of industrial scale, retail participation and capital-market deepening around one of Nigeria’s most consequential energy assets.
