Shell Petroleum B.V. has agreed to sell its entire interest in the Shell Nigeria Gas (SNG) Group to Vaaris Energy Limited, transferring its domestic gas distribution business to a Nigerian energy company as the international group concentrates on strategic deepwater and integrated gas operations.
DEVELOPMENT
In a statement on Tuesday, Shell said that the transaction covers Shell Nigeria Gas Holding B.V., established in 2019, which holds all but one of the shares in SNG Limited. Completion remains subject to regulatory conditions and approvals.
Elohor Aiboni, Shell’s country chair in Nigeria, said Shell Nigeria Gas had served industrial and commercial customers “for more than 25 years, supported by the commitment and expertise of its people”.
“We believe this agreement provides a much stronger platform for the business’ next chapter under new ownership. Shell continues to focus on strategic Deepwater and Integrated Gas positions in Nigeria,” she said.
Shell stated that SNG Group would remain part of the company and continue serving customers and operating normally until the transaction is completed.
The company said the sale aligns with its strategy to simplify its portfolio and concentrate investment in areas where it has competitive strengths. Its continued involvement in deepwater and integrated gas operations, including its interest in Nigeria LNG, reflects that direction.
Vaaris Energy Limited, a Nigerian energy company with interests across the oil and gas value chain and an existing domestic operational presence, will assume ownership of the gas distribution business upon completion.
DATA
Established in 1998, SNG supplies natural gas to industrial and commercial customers and operates approximately 170 kilometres of pipeline infrastructure across Ogun, Abia and Rivers states.
The business does not engage in upstream gas production, liquefied natural gas (LNG) or international gas trading. Shell did not disclose the transaction value.
SIGNIFICANCE
The divestment transfers an established domestic gas distribution network to Nigerian ownership while allowing Shell to concentrate capital on its selected deepwater and integrated gas interests.
For industrial and commercial customers, continuity of supply, infrastructure investment and pricing arrangements will be important considerations during the ownership transition. The transaction also creates an opportunity for Vaaris Energy to strengthen its position in Nigeria’s domestic gas value chain.
NEXT MOVE
Investors and customers should monitor regulatory approvals, completion arrangements and Vaaris Energy’s plans for the pipeline network, customer relationships and future investment. Shell has indicated that SNG will continue operating normally until completion.
OUR LENS
The transaction reflects a portfolio realignment rather than Shell’s complete withdrawal from Nigeria’s gas industry. Its continued focus on deepwater and integrated gas, including Nigeria LNG, distinguishes its retained strategic interests from the domestic distribution business being sold. The longer-term economic significance will depend on whether new ownership strengthens domestic gas delivery to industries and commercial consumers.
